Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the websites, APIs, data feeds, and other products and services (collectively, the “Services”) provided by Waafrika Inc. (“Jenga,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if you are prohibited by applicable law or if your use would violate any agreement to which you are bound.

3. Account and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized access or use. We may suspend or terminate your account if we suspect a breach of security or these Terms.

4. Use of the Services

You may use the Services only in accordance with these Terms, our documentation, and applicable law. You agree not to:

  • Resell, redistribute, or sublicense the data or Services in a manner not permitted by your plan;
  • Reverse engineer, decompile, or attempt to derive source code from the Services;
  • Use the Services to build a competing product or service;
  • Exceed rate limits, abuse APIs, or attempt to circumvent access controls;
  • Use the Services for any illegal or unauthorized purpose;
  • Transmit malware or interfere with the integrity or availability of the Services.

5. Data and intellectual property

The data provided through the Services may be subject to third-party licenses. You must comply with any use restrictions communicated by us. We and our licensors retain all rights in the Services, including software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the term of your agreement.

6. Fees and payment

Fees for paid plans are set forth in your order or on our pricing page. You agree to pay all fees when due. We may change pricing with reasonable notice. Unpaid amounts may result in suspension of access. All fees are non-refundable unless otherwise stated or required by law.

7. Term and termination

These Terms remain in effect while you use the Services. Either party may terminate for convenience with notice as specified in your plan. We may suspend or terminate immediately for breach of these Terms. Upon termination, your right to access the Services ceases. Sections that by their nature should survive (e.g., intellectual property, indemnity, limitations of liability) will survive.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE COMPLETE OR ACCURATE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAAAFRIKA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnity

You agree to indemnify and hold harmless Waafrika and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes will be communicated via email or a notice in the Services. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.

12. General

These Terms constitute the entire agreement between you and Waafrika regarding the Services. They are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Delaware. Our failure to enforce any right is not a waiver. If any provision is held invalid, the remaining provisions remain in effect.
